These Terms and Conditions (“Terms”) apply to all users of our website and clients engaging in services provided By Modern Muse., a UK-based creative agency specialising in branding identity and website design.

By accessing our site or booking our services, you agree to these Terms in full. If you do not accept these Terms, please refrain from using our site or services.

1. Who We Are

By Modern Muse. (“we”, “us”, or “our”) is a creative agency operating in the United Kingdom. We provide bespoke digital services including, website design & development, brand identity design and marketing collateral & visual assets.

We operate solely as a service provider and do not sell physical goods, and as such, returns do not apply.

2. Scope of Services

All services are customised and outlined in a formal project proposal agreed upon by both parties before work begins. These documents detail:

  • Deliverables

  • Timelines

  • Fees and payment terms

  • Ownership and licensing of creative assets

3. Booking & Payment Terms

A 25% deposit is required to secure a project start date with a payment schedule outlined in the signed contract and proposal.

All invoices must be paid within 7 calendar days unless otherwise agreed. Final deliverables will not be handed over until full payment is received.

Late or missed payments may result in project delays or suspension of services. Please note that the deposit is non-refundable, as outlined in our contract.

4. Project Start & Communication

Your project will commence only after:

  • You have approved the proposal and signed the contract

  • We have received the 25% deposit

  • A mutual start date has been confirmed

All communication related to the project will be conducted exclusively via the following channels:

  • Email

  • Google Meet (for scheduled calls)

We do not accept project communication via social media DMs, text messages, or any platform not explicitly agreed upon.

5. Deliverables & Handover

Upon full payment, you will receive all approved files and access credentials, final files will be delivered via a Dropbox folder, which you’ll be invited to access and branding assets will be provided in industry-standard formats such as .AI, .PDF, .PNG, and .SVG. Modern Muse Co. retains the right to showcase completed work (e.g., mockups, logos, live websites) on our website, social media, and portfolio unless otherwise agreed in writing.

6. Revisions & Additional Work

Your project includes two (2) rounds of revisions per deliverable (e.g., logo, homepage layout). Additional revisions will incur extra fees, either hourly or by quote. Once a deliverable is approved (signed off), any further changes will be treated as new work and billed accordingly.

7. Cancellation Policy

If the Client cancels before paying the deposit no action is required. If the project is cancelled after paying the deposit but before work begins, the deposit is non-refundable. If it is after work has commenced, the deposit is retained, and completed work to date will be invoiced in full.

We reserve the right to cancel the project and Agreement with written notice if the Client is unresponsive for 14 consecutive days or there is a material breach of the Agreement. In such cases, all completed work will be invoiced, and final files may be withheld until payment is received.

8. Intellectual Property

You will own the final, approved creative work upon final payment. However, Modern Muse retains the rights to any unused concepts or design drafts. We reserve the right to use final and in-progress work for portfolio, promotional, and case study purposes, unless requested otherwise in writing.

9. Limitation of Liability

We are not responsible for any losses arising from the use of delivered assets or websites, downtime or service limitations on third-party platforms (e.g., Squarespace or Shopify) or any alterations made by the Client or third parties after handover. Our total liability is limited to the amount paid and scope included for the specific project.

10. Data & Privacy

We comply with the UK GDPR and Data Protection Act 2018. Any personal or business data you share with us will be handled with care and confidentiality. Please see our Privacy Policy below for more information.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from your use of our services or website will be handled under the exclusive jurisdiction of English courts.
